1. Introduction

Automizely Pte. Ltd. (“AfterShip”), with registered offices situated at 120 Robinson Road #13-01, Singapore, is an official sponsor of the “ShopTalk 2025” event, taking place in Las Vegas, USA, on March 25 to 27, 2025 (the “Event”). AfterShip wishes to organize a sweepstake for the attendees of the Event (the “Sweepstake”), pursuant to applicable laws and regulations, in order to promote its services.

These terms and conditions (the “Terms”) regulate and govern the Sweepstake. By entering the Sweepstake, Participants agree to adhere and be bound by these Terms and all decisions AfterShip will make in connection with the Sweepstake. All additional communications in connection with the Sweepstake shall constitute a point of rules.

2. Sweepstake Eligibility

To be eligible to enter the Sweepstake, participants (“Participants”) shall (i) be twenty one (21) years of age or older; (ii) be a legal resident in the United States or Canada; (iii) be a registered participant to the Event; (iv) operate an eCommerce store in a location where AfterShip services are available; and (v) not be a partner or agency of or working with AfterShip; and (vi) either (A) pre-book and attend a meeting with an AfterShip representative, to take place at the AfterShip booth (#2244) during the Event, via the calendar links available on the AfterShip Event landing page; or (B) book and attend a post-Event meeting, to take place before April 17, 2025, by communicating during the Event the Participant’s contact details to an AfterShip representative at AfterShip’s booth. Participants who do not fulfill the above mentioned requirements shall be disqualified from the Sweepstake.

NO PURCHASE IS NECESSARY TO ENTER OR WIN THE SWEEPSTAKE. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. There shall not be any compensation or contribution by Participant for participation in the Sweepstake. Each Participant can enter the Sweepstake only once. The Participants acknowledge and agree that the probability of winning the Sweepstake shall be dependent upon the actual number of eligible entries received by AfterShip.

3. The Prize

The winning prize of the Sweepstake shall consist of one (1) Away suitcase “The Carry-On Flex” of the value of USD three hundred and twenty five (US$325.00) (the “Prize”). For more information on the Prize, please refer to Away website (available at https://www.awaytravel.com/suitcases/carry-on-flex).

The use of specific brands as prizes by AfterShip does not imply any affiliation with or endorsement of such brands, and the Sweepstake has no affiliation with Away.

The Prize will be randomly awarded to one among the eligible Participants of the Sweepstake (the “Winner”). The Prize is not exchangeable, and no cash alternative will be provided. The Winner shall be responsible for any and all taxes, charges or fees due over the Prize.

AfterShip reserves the right to substitute the Prize with another prize of equal or lesser value if circumstances beyond AfterShip’s control require doing so (e.g. unavailability of the Prize in the color selected by the Winner).

4. Winner Announcement

The Winner will be chosen at random and contacted after April 17, 2025 via the email address provided during registration. To select and receive the Prize, the Winner must respond within three (3) days from receipt of the relevant email from AfterShip, providing all required information. Failure to respond within three (3) days shall result in forfeiture of the Prize, which will be awarded to the next eligible Participant. AfterShip is not responsible for not being able to deliver the Prize if the Participant provided insufficient, incomplete or wrong contact information when registering to the Sweepstake.

The Prize shall be shipped to the Winner at the address communicated by the Winner, provided such address is located within the United States or Canada.

5. Data protection

Participants acknowledge and agree that any personal information provided when entering the Sweepstake will be used by AfterShip pursuant to applicable laws for the purposes of administering the Sweepstake and for other purposes, as specified in AfterShip privacy policy, available at https://www.aftership.com/legal/privacy ("Privacy Policy"). The Privacy Policy includes AfterShip’s contact details and all relevant information on how Participants can exercise their rights with respect to their personal data.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL AFTERSHIP BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OR LOSSES (EVEN IF AFTERSHIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES), RESULTING FROM ANY ASPECT OF THE SWEEPSTAKE, INCLUDING, WITHOUT LIMITATION, ANY DAMAGE OR LOSS RESULTING FROM ANY THIRD PARTY SERVICES PROVIDED IN RELATION TO THE SWEEPSTAKE (E.G., SHIPPING SERVICES).

Printing, spelling, typesetting or other errors, as well as technical problems (including, for example, e-mail communication) cannot be invoked as grounds for any obligation or liability on the part of/for AfterShip. If AfterShip is forced to postpone, shorten or cancel the Sweepstake, change the Sweepstake rules or modify the Sweepstake formula, AfterShip cannot be held liable in any way.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFTERSHIP HEREBY DISCLAIMS ANY WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING WITHOUT LIMITATIONS WITH REGARDS TO THIS SWEEPSTAKE OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE.

7.General

Participants acknowledge and agree that AfterShip reserves the rights, pursuant to applicable law, to: (i) make final determinations upon any aspects of the Sweepstake; (ii) modify or cancel the Sweepstake for any reason, with immediate effect; and (iii) amend these Terms.

These Terms shall be governed by the laws of New York, United States, without regard to principles of conflicts of law, and the parties submit to the jurisdiction of the courts of New York. THE PARTIES HEREBY WAIVE TRIAL BY JURY IN CONNECTION WITH ANY ACTION OR SUIT ARISING UNDER THIS AGREEMENT OR OTHERWISE ARISING FROM THE RELATIONSHIP BETWEEN THE PARTIES HEREUNDER.
